Every session at Right Take Studio runs on the same set of terms — so read them once, book with confidence, and there are no surprises on session day.
These terms are between you ("Client") and RTS Media Services Inc., d/b/a Right Take Studio ("Studio"), and apply to every booked session.
1. Booking, Overtime & Session Timing
- The Clock: The session clock begins at the scheduled Call Time listed in the SOW, not when the Client or band members arrive or finish setting up equipment.
- Lateness & Delays: Studio is not liable for reduced tracking time resulting from Client lateness, instrument setup delays, missing gear, or unconfigured software.
- Overtime: Any extension past the contracted end time is subject to studio and staff availability and will be billed at the Overtime Rate specified in the SOW.
- Delivery of Final Files: No master audio files, video renders, stems, or raw ISO files will be released, uploaded, or transferred to Client until the remaining project balance, including any accrued overtime, is paid in full.
2. Cancellation & Rescheduling Policy
- Notice Period: Rescheduling requires written notice at least seventy-two (72) hours prior to the session Call Time.
- Deposit Forfeiture: Cancellations or reschedule requests made with less than 72 hours' notice result in complete forfeiture of the 50% deposit.
- Late Cancellation / No-Show: Cancellations within twenty-four (24) hours of Call Time, or failure to appear, obligate Client for 100% of the total contracted fee.
3. Gear Liability & Damage Authorization
- Client Responsibility: Client assumes full financial liability for any physical damage, loss, or destruction of Studio equipment, instruments, amplifiers, microphones, video cameras, stage lighting, or facility property caused by Client, band members, or invited guests, excluding normal wear and tear.
- Repair/Replacement: Damaged equipment will be repaired by an authorized technician or replaced at modern replacement cost.
- Credit Card on File: Client shall provide a valid credit card authorization prior to load-in. Studio reserves the right to charge this card for assessed damages, overtime, or unpaid incidentals within five (5) business days following written notice and an itemized invoice.
4. Live Streaming, Broadcast Disclaimer & DMCA Indemnification
- Platform Transmission: Studio utilizes high-speed commercial internet and enterprise streaming hardware. However, Studio does not control third-party networks, internet service provider outages, or platform servers (YouTube, Twitch, TikTok, Facebook). Studio is not liable for stream lag, dropped frames, or technical interruptions originating on the receiving platform's end.
- Content Clearances & Copyright: Client warrants that they hold all necessary performance, mechanical, and synchronization rights for all music, covers, lyrics, and graphics broadcast during the session.
- Indemnification: Client agrees to indemnify, defend, and hold harmless Studio, its owners, and operators against any claims, damages, fines, DMCA takedown strikes, account suspensions, or legal fees arising from intellectual property infringement or regulatory violations during the live broadcast.
5. Data Archival & Storage Purge Policy
- 30-Day Active Window: Studio maintains digital multitrack stems and camera footage on active studio drives for thirty (30) days following the session date.
- Purge Protocol: Following thirty (30) days, Studio reserves the right to permanently purge raw session files, camera ISOs, and multitracks from its drives to reclaim storage.
- Client Backup Duty: It is Client's sole responsibility to download, verify, and backup all deliverables upon receipt. Extended digital archival storage is available upon request for an additional fee.
6. Studio Safety, Environment & Code of Conduct
- Atmospheric Effects: Client acknowledges that Studio operates professional stage lighting (including strobes) and water/glycol-based haze and fog machines. Client is responsible for alerting Studio in advance if any performer has asthma, respiratory conditions, or photosensitive epilepsy.
- Prohibited Items: Illegal substances, uncontained liquids near audio/video consoles, and weapons of any kind are strictly banned. Violation is grounds for immediate session termination without refund.
- Session Attendance: To ensure safety and production quality, attendance is limited strictly to performers, essential management, and technical personnel — a maximum of four (4) non-performing guests unless approved by Studio in advance.
7. Studio Portfolio & Embargo
- Promotional Use: Studio reserves the right to capture behind-the-scenes photography and use short excerpts (under 60 seconds) of a session for promotional and portfolio purposes.
- Embargo Notice: If Client's release is subject to a strict promotional embargo date, Client must notify Studio in writing prior to the session date so Studio can hold any promotional material until the embargo lifts.
